Peace Winds Japan Transaction Advisor for Commercialization of Garage Facility Jobs in Kenya
Background
Peace Winds Japan (PWJ) in partnership with UN WOMEN with funding from the Government of Japan is implementing the “Enhancing Women’s Resilience in Refugee Camps and Host Communities in Kenya” Project in Kakuma Refugee Camp / Kalobeyei Integrated Settlement and Host Communities (Turkana County).
As part of the project results, PWJ intends to facilitate the process of commercialization of a newly constructed commercial-grade garage facility situated in Kalobeyei, Turkana West sub-county to ensure its sustainability, efficiency of operations, professional service delivery, and market growth contributing to economic growth of the area and enhanced economic opportunities for women and youth living in the project area.
Assignment Objectives
PWJ seeks the services of an experienced consultant to support a market analysis and business case development and provide transaction advisory for commercialization of the new garage facility. This assignment will achieve the following specific objectives:
• To conduct a comprehensive market analysis of the motor vehicle garage market environment in Kakuma/ Kalobeyei
• Conduct a commercial viability analysis of possible garage management arrangements; and
• Develop a business case for the most commercially viable garage management approach
• To support PWJ and its key stakeholders in designing and implementing a procurement/ selection process to identify and execute a suitable management arrangement for the commercial operation of a motor vehicle garage facility in Kalobeyei.
Anticipated Level of Effort (LoE)
This assignment will require an estimated Level of Effort of 50 person-days to execute.
Duration of the Assignment
It is anticipated that the assignment will take place over a period of 2.5 months (10 weeks) spread between September to November 2023.
Key Deliverables
Required Qualifications and Experience
The Transaction Advisor, a firm or an association of firms, shall comprise a team managed by a single lead advisor. The firm shall be required to demonstrate experience of at least 10 years undertaking similar assignments in the African context.
Experience supporting similar undertakings in a complex stakeholder setting involving National governments, UN agencies, humanitarian organizations and local community-based organizations will be an added advantage. The members of the team will have the skill and experience necessary
to undertake the tasks set out in these terms of reference.
The skills and experience required in the transaction advisor shall be as follows:
• Market Analysis, Business Case Development, Financial and Risk analysis, with relevant Public Private Partnership (PPP) experience;
• Relevant experience in structuring facility commercialization/ leasing arrangements
• Relevant expertise in the management, operations and maintenance of large commercial garage facilities
• PPP procurement and structuring;
• Legal and regulatory expertise;
• Contract negotiations;
• Contract management; and
• Project management
Team Composition and Qualifications
The Transaction Advisor is responsible to propose a team that appropriate to this engagement. At a minimum, the team shall comprise of the following:
Academic Background
• The Lead Advisor shall have expertise in Business, Financial and Risk Analysis and shall have at the minimum a master’s degree in business administration (Finance Option) or master’s degree in finance.
• The legal advisor shall possess at the minimum a bachelor’s degree in law and registered as advocate of the High Court of Kenya of advanced standing in the field of commercial law
• Other team members shall possess at the minimum Bachelor’s degrees relevant to their respective assigned roles.
Professional Experience
• Business, Financial and Risk analysis expert (Lead Advisor) with a minimum of 15 years’ experience in analyzing PPP viability and developing business case and financial models for projects;
• PPP expert (Legal) with a minimum of 15 years’ experience developing, analysis and structuring PPP transactions;
• Socio-economist/ economist with a minimum of 10 years’ experience analysing and designing benefit-sharing arrangements in PPP projects
• Expert in management, operations and maintenance of large commercial garage facilities with a minimum of 10 years’ experience
