Job Purpose Statement
This role provides leadership to the legal department and executive leadership across the fintech business,
including the different markets in which LOOP DFS Limited (‘the Parent Company’) will operate in through its subsidiaries. This will be through overseeing and supervising the following key performance areas:
• Regulatory Compliance; Ensure the Company and its affiliates’ adhere to laid down laws, regulations, guidelines and specifications relevant to its business processes and promote healthy relations with the regulatory authorities that govern the Company and its affiliates.

• Intellectual Property management and compliance;
Oversee the development, ownership, management and marketing of Intellectual Property as an intangible
asset to the Company and its affiliates for purposes of value creation.
• Company Secretariat; Advisory to the board of directors on good corporate governance practices and compliance, and act as the secretary to the boards.
• ESG (Environmental, Social & Governance) strategy and compliance Manage the Company’s sustainability efforts and ensure all the Company’s business models emphasizes on social responsibility.
Key Accountabilities (Duties and Responsibilities)
Financial Oversee and ensure:
• Unit costs – management of unit costs within the set cost management procedures and approved budget;
• Contracting – contracts are well drafted to minimise legal risk to the Company that would result in financial loss to the entities.
• Demands & Litigation – All Demand Letters and threatened litigation against the Company and its affiliates are handled within procedure and with a general view of averting possible litigation and for litigious matters these are handled efficiently with minimal financial loss
• Minimise outsourced work on a need to basis only.
Key Accountabilities (Duties and Responsibilities)
Legal Management
Company Secretarial & Governance
Reporting to the board of directors, and being responsible for:
• Convening and servicing meetings (producing agendas, taking minutes, conveying decisions, handling meeting correspondences) Training directors and members of the senior leadership team on corporate governance matters.
• Creation and regular review of corporate governance
documentation including board charters, board codes of conduct and terms of reference for the various board committees.
• Providing legal advisory services to the Board and guiding the board in ensuring implementation of the Companies’ Constitutive documents;
Regulatory & Compliance
• Supervise and adherence to the licensing of the various Opcos and regulatory approvals of any products in time prior to launch
• Oversee maintenance of regulatory engagements with
regulators across the operating markets, ensuring the Group’s subsidiaries are cognizant of regulatory expectations and concerns, whilst ensuring the business achieves trust and confidence from
its regulators.
• Supervise business compliance with new and existing laws and relevant trends and evaluating their impact on business operations and ensuring that business objectives and strategies are well aligned with compliance obligations.
• Spearhead the formulation and implementation of crucial organizational policies that are essential for sustained regulatory/legislative compliance and risk mitigation, oversee review of operational issues vis-a-vis compliance expectations impacting the business, such anti-money laundering, to actively address risks and gaps as they emerge to mitigate against regulatory sanctions.
• Champion and supervise the developments of the various corporate structures in the various regional Opcos in line with regulatory and licensing requirements in the various markets
Key Accountabilities (Duties and Responsibilities)
Intellectual Property (IP) Management
ESG management and compliance
• Lead the development of approaches that deliver ESG support to the ventures across the markets that the Company operates in and ensure the ESG is in line with the organization’s strategy and oversee management of ESG risks in the Company and the constituent markets.
• Manage relationships for successful delivery of the Company’s ESG’s objectives including industry and regional management and other partners/stakeholders.
• Stay abreast of ESG market trends, both regionally and globally.
Customer experience
• Manage key relationships with regulators, strategic partners, clients, intermediaries and service providers in the market by ensuring that service to each stakeholder meets their expectations.
• SLA Management – ensuring service delivery by the unit within the set Service Level Agreement with other departments (meeting the set TAT and quality standards)
• Leverage personal, company and industry networks/contacts to promote Loop DFS and NCBA’s strategic assets and culture with a view to constantly expand our partnership opportunities.
Learning & Growth
• Managing, developing and facilitating the teams career development goals.
• Set performance objectives for each member in the unit in accordance with the Loop DFS and Group’s objectives.
• Regularly review people performance to trigger feedback and prompt actions to ensure objectives for individuals and team are met and enhance motivation and performance improvements
• Ensure that you achieve the set hours of learning/training for both self and direct report through E-learning, Internal & External training activities.
• Ensure attendance of Continuing Professional Development Courses (‘CPDs’) for both LSK& company secretarial and meet the required points for the following year’s practicing requirements.
• Implement appropriate communication systems and forums which will ensure that the staff will be kept informed of the fintech’s business direction, and obtain support and knowledge to perform duties effectively.
Ideal Job Qualifications
Academic:
• Bachelor’s Degree in Law (LLB);
• Masters’ Degree in Laws (LLM) or a related Business Area;
• Certified Public Secretary
Professional:
• Admission as an advocate of the High Court of Kenya with a current practising certificate;
• Member of the ICS in good standing (Not mandatory but desirable);
• Professional qualification in Management (Not mandatory but desirable)
Desired work experience:
• Minimum 10 years post admission relevant experience in a financial/corporate environment or similar
practice;
• Minimum five 5 years Managerial experience or similar demonstrated leadership;
