Activities

The position holder is responsible for:

  • Ensure Company’s compliance with corporate, statutory, and regulatory requirements in Uganda, assist legal department in Paris to ensure compliance with the rules and regulations applicable in France.
  • Provide timely legal opinions and legal support to all aspects of Company’s daily operations.
  • Provide timely legal opinions (written or oral) and legal support to all aspects of Company’s petroleum patrimonial agreements (including Production Sharing Agreements and Joint Operating Agreements and related ancillary agreements) to promote the best interest of the company visa-a-vis all stakeholders.
  • Prepare, draft and review contracts, documents, and correspondence to be signed by Company.
  • Participate in negotiations with service providers, contractors, joint venture partners,

    national companies, public authorities, and other stakeholders. Develop a “contracts database” (with precedents and templates).
  • Participate in the negotiation and drafting and ensure implantation of all “bridging agreements” between the upstream Petroleum agreements and the midstream agreements for petroleum exports.
  • Provide necessary support on Tilenga land acquisition process and related activities.
  • Monitor and analyze existing national/international laws and regulations, changes (including draft form) which may impact the Company and advise on their interpretation and application/ enforcement.
  • Communicate with external counsel and internal Company’s departments to schedule meetings, interviews and participate in court attendance, dispute resolution and settlement processes
  • Contribute to the selection of outside legal counsel. Draft request for proposals and engagement letters. Help to supervise external counsel to ensure quality and costeffective services are provided.
  • Coordinate timely and consistent payment of all fees and invoices related to the legal section.
  • Identify potential legal and contractual risks in Company’s daily operations and propose

    mitigation measures.
  • Coordinate timely signing process of contracts.
  • Maintain proper filing system and ensure that documentation is appropriately preserved.
  • Whenever and as often as necessary, coordinate and share experiences with counterparts with the Company’s Joint Venture Partners and the Midstream legal function.
  • Ensure progress and efficiency with internal clients. Anticipate needs and propose practical solutions. Advise on design of legal and economical contract strategies and or solutions appropriate to their context by considering legal/ statutory constraints and economic information.
  • Participate in workshops and legal committees of professional organizations locally (Uganda Law Society, East Africa Law Society).
  • Undertake legal research work.
  • Contribute to improvement of skills and know-how, by sharing expertise and participating in legal staff training awareness sessions.
  • Prepare reports for internal and HQ purposes

    Person Specification

    Qualification:

  • Bachelor of Laws (LLB) from recognized University (Minimum upper second).
  • A post graduate diploma in Legal Practice.
  • Master’s degree in relevant disciplines of law is an added advantage

    Experience:

  • Minimum 6-8 years of legal experience in an industrial company or a busy law firm in Uganda or abroad.
  • Very strong contract drafting and negotiation skills.
  • Strong interpersonal and communication skills.
  • Ability to work in multi-cultural and international business environment.
  • Good analytical and problem-solving abilities.
  • Ability to cope with and work in high pressure environment
  • Good understanding of oil and gas contracts and Uganda’s legal and regulatory framework for the oil and gas industry.
